Terms of Service

These Terms of Service ("Terms") govern your access to and use of ShakaFlow (the "Service"), operated by ShakaCode LLC ("ShakaCode", "we", "us"). By installing ShakaFlow in your Slack workspace or accessing the web dashboard at app.shakaflow.com, you agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not install or use the Service.
1. Description of the Service
ShakaFlow is an AI assistant for engineering teams delivered as a Slack application and companion web dashboard. The Service integrates with third-party tools — including GitHub, Jira, Shortcut, Linear, Toggl, 15Five, Google Calendar, and Microsoft Calendar — to provide activity summaries, risk detection, metrics tracking, coaching guidance, and other features described on our website.
2. Accounts and access
To use ShakaFlow, a workspace administrator must install the Slack application and authorize the requested permissions. Access to the web dashboard requires signing in with Google OAuth. You are responsible for maintaining the security of your Slack workspace, connected integration credentials, and any API keys you provide to the Service.
You must be at least 16 years of age to use the Service. By using ShakaFlow, you represent that you meet this requirement.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the Service, other users' data, or any related systems.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Interfere with or disrupt the Service or the servers and networks connected to it.
- Use the Service to harass, surveil, or discriminate against individuals.
- Resell, sublicense, or redistribute the Service without our prior written consent.
- Exceed reasonable usage limits or use the Service in a way that degrades performance for other users.
We reserve the right to suspend or terminate access for any user or workspace that violates these Terms.
4. Your data
You retain all ownership rights in the data you and your team members provide through the Service ("Your Data"). By using ShakaFlow, you grant us a limited, non-exclusive license to access, process, and store Your Data solely to provide and improve the Service.
Our collection, use, and protection of Your Data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
5. AI-generated content
ShakaFlow uses large language models (LLMs) provided by Anthropic, OpenAI, and Google to generate summaries, coaching guidance, risk assessments, and other text ("AI Output"). You acknowledge and agree that:
- AI Output is generated automatically and may contain errors, inaccuracies, or incomplete information.
- AI Output does not constitute professional advice (legal, financial, HR, or otherwise).
- You are responsible for reviewing AI Output before acting on it or sharing it with others.
- ShakaCode does not guarantee the accuracy, reliability, or completeness of any AI Output.
- AI Output should not be the sole basis for employment, performance, or personnel decisions.
6. Third-party integrations
The Service integrates with third-party platforms including Slack, GitHub, Jira, Shortcut, Linear, Toggl, 15Five, Google Calendar, and Microsoft Calendar. Your use of these platforms is governed by their respective terms of service. We are not responsible for the availability, accuracy, or policies of any third-party service.
If you choose to bring your own AI provider API key, your usage of that provider's API is subject to the provider's terms and billing. ShakaCode is not liable for any charges incurred under your API key.
7. Intellectual property
The Service, including its design, code, features, documentation, and branding, is owned by ShakaCode LLC and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
You may provide feedback, suggestions, or ideas about the Service. You grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.
8. Service availability
We strive to keep ShakaFlow available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify workspace administrators of planned downtime.
9. Fees and payment
Certain features of the Service may require a paid subscription. Fees, billing cycles, and payment terms will be communicated to you before you incur any charges. We reserve the right to change our pricing with at least 30 days' notice to affected customers.
If payment is required and not received, we may suspend access to paid features until the outstanding balance is resolved.
10. Limitation of liability
To the maximum extent permitted by applicable law, ShakaCode LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.
Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).
These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless ShakaCode LLC, its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
12. Termination
You may stop using the Service at any time by uninstalling ShakaFlow from your Slack workspace. We may suspend or terminate your access at any time if you violate these Terms, with or without notice.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — will survive.

13. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, we do not warrant that the Service will meet your requirements, that AI-generated content will be accurate or reliable, or that the Service will be uninterrupted, secure, or free of errors.
14. Governing law
These Terms are governed by and construed in accordance with the laws of the State of Hawaii, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Honolulu, Hawaii, and you consent to the personal jurisdiction of such courts.
15. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and notify workspace administrators by email or in-Slack message at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
